Terms of Service

2.1 Service Scope

FUWAY provides OEM/ODM manufacturing services for golf apparel including but not limited to polo shirts, trousers, shorts, hoodies, and quarter-zip pullovers. Our services include design consultation, sampling, mass production, quality control, and logistics support.

2.2 Custom Orders

All manufacturing orders are custom-made based on client specifications. We do not maintain ready-made inventory for sale. Orders require formal written agreements specifying quantities, specifications, delivery timelines, and pricing.

2.3 Minimum Order Quantities

Minimum order quantities (MOQs) apply to all production orders. Specific MOQs vary by product type and customization requirements and will be communicated during the quotation process.

3.1 Order Confirmation

Orders become binding upon written confirmation from FUWAY and receipt of required deposits. All orders must be accompanied by detailed specifications, approved samples, and purchase orders.

3.2 Payment Terms

• Sample orders: 100% payment before production
• Bulk orders: Typically 30-50% deposit, balance before shipment
• Payment methods: T/T (wire transfer), L/C, or other mutually agreed methods
• All prices are quoted in USD unless otherwise specified

3.3 Price Validity

Quoted prices are valid for 30 days from the quotation date unless otherwise specified. Prices may be subject to adjustment due to material cost fluctuations, specification changes, or other unforeseen circumstances.

4.1 Production Timeline

Standard production timelines are 7 days for sampling and 25-35 days for bulk production, commencing from deposit receipt and specification approval. Timelines may vary based on order complexity, quantity, and seasonal demand.

4.2 Delivery Terms

Delivery terms are FOB Guangzhou unless otherwise agreed. Customers are responsible for shipping costs, customs duties, and import procedures. We can assist with logistics arrangements upon request.

4.3 Force Majeure

FUWAY shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, labor disputes, or material shortages.

5.1 Defect Policy

We accept responsibility for manufacturing defects that exceed industry-standard tolerances (typically 2-3% of total quantity). Claims must be reported within 30 days of delivery with photographic evidence.

5.2 Warranty Limitations

Our warranty covers manufacturing defects only and does not extend to normal wear, misuse, improper care, or design-related issues approved by the customer.

6.1 Customer IP Rights

Customers retain all rights to their designs, logos, trademarks, and proprietary specifications. FUWAY agrees to maintain confidentiality and will not reproduce customer designs for third parties without explicit written consent.

6.2 IP Indemnification

Customers warrant that their designs and specifications do not infringe upon third-party intellectual property rights and agree to indemnify FUWAY against any IP-related claims.

FUWAY's total liability for any claim shall not exceed the value of the specific order in question. We shall not be liable for indirect, consequential, or punitive damages, including but not limited to lost profits, business interruption, or market losses.

Customers acknowledge that manufacturing involves inherent risks and variations, and agree that FUWAY's liability is limited to replacement or credit for defective products as determined by our quality standards.

Both parties agree to maintain confidentiality regarding proprietary information, designs, pricing, and business relationships. This obligation continues for three (3) years following the conclusion of business relationships.

FUWAY may use general project information for marketing purposes (without revealing customer identity) unless specifically prohibited by written agreement.

These terms are governed by the laws of the People's Republic of China. Any disputes shall be resolved through good-faith negotiation first, followed by arbitration in Guangzhou if necessary.

For international customers, we strive to resolve disputes through mediation and mutual agreement, considering the international nature of our business relationships.

FUWAY reserves the right to modify these terms at any time. Updated terms will be posted on our website and communicated to active customers. Continued business engagement constitutes acceptance of modified terms.

For existing orders, the terms in effect at the time of order confirmation shall apply unless both parties agree to modifications in writing.
